Overview
A legal Spanish course focused on Commercial Law: companies and business operations. You will learn how it is discussed in daily practice about corporate matters, transactions, commercial agreements, and the documentation commonly used in the business environment in Spanish.
What you will learn
- How to understand and use key corporate and transactional vocabulary (company, governing bodies, powers of attorney, shares/participations, conditions, etc.).
- How to work with common structures: definitions, obligations, conditions (“sujeto a”, “salvo”, “siempre que”).
- How to discuss typical documentation confidently:
Non-Disclosure Agreement (NDA)
Terms and Conditions / Term Sheet
Letter of Intent (LOI)
Minutes, powers of attorney
Legal review / due diligence process
Checklists / verification lists - How to negotiate terms in a professional register: proposing, objecting, conditioning, conceding, and closing.
Syllabus
Week 1: Language of companies: roles, authority/representation, and corporate agreements
Week 2: Language of NDAs, letters of intent, and term sheets
Week 3: Language of due diligence: risks, document requests, and timelines
Week 4: Language of commercial agreements: negotiation, red lines, closing, and follow-up
Methodology
Action-oriented approach: real/didactic language models, guided extraction of resources, checkpoint activities to verify learning, and a final simulation. Creation of a final product.

Aimed at law students and legal professionals who work in commercial law and want to strengthen and update their command of the Spanish used in companies and commercial transactions, from the fundamentals to practical application. Especially useful for those looking to reinforce key criteria and gain confidence when analysing corporate structures, shareholders’ agreements, and the documentation typically used in business transactions.
Requirements
- A minimum general Spanish level of upper-intermediate (B1+) is recommended.
- A device with a camera and microphone, and a stable internet connection.

- Is a certificate issued at the end of the course? Yes. A certificate of attendance is issued.
- Will I receive additional materials? Yes. You will receive downloadable materials to prepare for the class and to continue revising at your own pace afterwards.
- What level of Spanish do I need? We aim to accommodate different levels, but a minimum of upper-intermediate (Advanced B1) or B2 is recommended.
- What happens if I cannot attend the live session? If you are unable to attend, please let me know in advance and we will look for the best alternative, subject to availability.
- How many people are there per group? Groups are small to ensure participation, practice, and personalised feedback. Places are limited.
- Which platform is used, and what do I need technically? The class is delivered by video conference (Google Meet). You will receive the link the day before. You will need a device with a stable internet connection, a camera and microphone, and preferably headphones.
- How do I make the payment? Payment is made through the website via PayPal or bank card.
- Is an invoice issued? Yes. If you require an invoice, you can request one directly at checkout by selecting the “I need an invoice” option and entering your billing details (name/company name, tax ID number, and address). We will email the invoice to you after payment.
